High Risk Clause
Disclosing Party indemnifies Receiving Party for losses due to the Disclosing Party's own mishandling/misuse of its Confidential Information. There is no reciprocal indemnity — potentially unlimited liability for Receiving Party.
1. CONFIDENTIAL INFORMATION is defined as all information (whether written, oral, electronic or recorded in any medium) relating to the Subject Area and its respective businesses, assets, strategies and affairs, including without limitation, the financial statements of the Subject Area and all financial, commercial, technical, operational, staff, management and other information.
